General Terms for Online Sale of Licenses

for MG-SOFT Software Products


1. Introduction & Definitions

These General Terms ("Terms") govern the online ordering, payment, delivery and licensing of MG-SOFT software products and related services offered by MG-SOFT podjetje za racunalniški inženiring d.o.o. (short name: MG-SOFT d.o.o.) ("MG-SOFT", "we", "us", "our").

By placing an order (via our online checkout system) or by using the Software, you accept these Terms. If you do not agree, do not order or use the Software.

Definitions: "Software" means MG-SOF's software products listed in an Order; "Order" means your online checkout confirmation or other order document accepted by MG-SOFT; "License" means the rights granted under the EULA; "Subscription" means a time-limited License; "Consumer" means a natural person acting outside their trade or profession; "Business Customer" means any customer that is not a Consumer.

3. Scope of These Terms

These Terms apply to (i) account creation where applicable, (ii) ordering and payment by credit/debit card or other accepted methods, (iii) electronic delivery of license files/keys and downloads, and (iv) licensing and use of the Software. The EULA governs License scope and restrictions; if there is a conflict, the EULA prevails for licensing matters.

4. Ordering Process & Contract Formation

Online checkout: add to cart, review and edit your cart contents, provide billing details, confirm payment. You may correct input errors before submitting your Order.

Your Order is an offer to buy. We accept only when we send an order confirmation email or deliver the license file/key, at which point a contract is formed. We may refuse or cancel suspected fraudulent or erroneous orders.

Alternative channels: MG-SOFT also accepts NET-30 corporate purchase orders (subject to approval) and bank wire payments. Do not send card numbers by email.

5. Prices, Taxes & Invoicing

All licensing fees are quoted in EUR. We may quote other currencies upon request; card payments are authorized in EUR and your bank will convert amounts to your billing currency at its rate on the billing date.

EU VAT: VAT-registered EU customers should provide a valid VAT ID during checkout. If a valid VAT ID is not provided, MG-SOFT will add 22% VAT to the order total, where applicable. Invoices are issued electronically to the billing email.

6. Payment

Accepted cards: Visa, MasterCard and EuroCard. For security reasons, do not send card details by email. Additional verification may be required by your card issuer.

Chargebacks: Please contact us first to resolve any issue. Unfounded chargebacks may lead to suspension of licenses pending resolution.

Refund is made to the credit card used to place the order.

7. Delivery, Download & Activation

Fulfilment is electronic (ESD). After successful payment, we deliver a download link and/or license key/file to your email and/or account. Delivery is typically no later than two working days after successful payment authorization.

Activation is required and will limit the number of users to the number of licenses purchased.

8. License & EULA (Incorporation by Reference)

Your use of the Software is governed by the MG-SOFT End User License Agreement (EULA), available at https://www.mg-soft.com/licenseTypes.html. The EULA (including license types, time-limited terms of 1/2/3 years, license.key usage, update eligibility during the active term, and no floating licenses) forms part of these Terms. If the EULA and these Terms conflict, the EULA controls for licensing matters.

9. Updates, Maintenance & Support

Updates: License fees include free software updates for all releases within the purchased license term (12, 24, or 36 months, depending on your selection).

Support: Customer support is generally delivered electronically (email). Contact support@mg-soft.si. Registered customers with active licenses receive priority assistance.

10. Renewals (if applicable)

Where applicable, time-limited licenses can be renewed for additional terms (typically 12 months). Renewals extend the same license and do not constitute new licenses. Pricing and eligibility are as published or quoted at the time of renewal.

11. Right of Withdrawal (Consumers) & Refunds

EEA/UK Consumers: You have a 14-day right to withdraw from online purchases of digital content unless you request immediate delivery and acknowledge losing this right once download or activation begins. We present this consent at checkout.

12. Data Protection & Privacy

We process personal data in accordance with our Privacy Policy (https://www.mg-soft.com/privacy.html). For privacy inquiries: Data Protection Officer, MG-SOFT d.o.o., Strma ulica 8, SI-2000 Maribor, Slovenia.

13. Warranties & Liability

Except as required by law or stated in the EULA/documentation, the Software is provided "as is" for trials/evaluations. For paid licenses, MG-SOFT warrants material conformity to documentation during the applicable license term; remedies are repair/replacement or refund where not feasible.

14. Acceptable Use; Export Controls & Sanctions

You will not use the Software unlawfully, to transmit malware, or in high-risk systems without written authorization. You confirm you are not subject to applicable export/sanctions restrictions and will comply with relevant laws.

15. Termination

We may suspend or terminate for material breach (including non-payment) if not cured within 30 days of notice. Upon termination or expiry, you must cease use and uninstall the Software. Sections that by nature should survive (fees, IP, liability, governing law) survive.

16. Changes to These Terms

We may update these Terms from time to time. For material changes affecting active licenses/renewals, we will provide advance notice. Continued use of the Software after the effective date constitutes acceptance of the updated Terms.

17. Governing Law, Disputes and ODR

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Slovenia (without regard to conflict‑of‑law rules). Disputes are subject to the exclusive jurisdiction of the courts in Maribor, Slovenia, except that Consumers may bring claims in their country of residence where mandatory law grants that right.

18. Order of Precedence

If there is a conflict, the following order applies: (1) any Order/checkout summary, (2) these General Terms, (3) the EULA for licensing matters, (4) product documentation and third‑party/open‑source notices.
